Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and KeepUp ("we," "us," or "our"), concerning your access to and use of the KeepUp mobile application (the "App").

By accessing the App, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.

1. Intellectual Property Rights

Unless otherwise indicated, the App is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the App (collectively, the "Content") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

Third-Party Data: Movie and TV show metadata, including images, posters, and descriptions, is provided by The Movie Database (TMDB). This content is the property of TMDB and its contributors.

2. User Representations

By using the App, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update such registration information as necessary.
• You have the legal capacity and you agree to comply with these Terms of Service.
• You are not under the age of 13.
• You will not access the App through automated or non-human means, whether through a bot, script, or otherwise.

3. User Registration

You may be required to register with the App. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

4. User Generated Contributions

The App may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the App, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions").

Specifically, KeepUp allows users to rate and review movies and TV shows. When creating Contributions, you agree not to:

• Submit content that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, or discriminatory.
• Submit false or misleading information.
• Infringe on the proprietary rights of any third party.
• Use the App to harass, abuse, or harm another person.

We have the right to remove any Contribution that violates these Terms or is otherwise objectionable in our sole discretion.

5. Prohibited Activities

You may not access or use the App for any purpose other than that for which we make the App available. The App may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

6. App Management

We reserve the right, but not the obligation, to:

• Monitor the App for violations of these Terms of Service.
• Take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Service.
• Refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof.
• Manage the App in a manner designed to protect our rights and property and to facilitate the proper functioning of the App.

7. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the App at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the App.

8. Governing Law

These Terms shall be governed by and defined following the laws of Scotland. KeepUp and yourself irrevocably consent that the courts of Scotland shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

9. Disclaimer

THE APP IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE APP AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE APP AND YOUR USE THEREOF.
